Terms and Conditions

Last updated on September 22, 2026.

We're MPQV Group LLC, doing business as Gallium Digital ("Gallium Digital", "we", "us", or "our"), a Texas limited liability company. These Terms and Conditions (our "Terms") form a legally binding agreement between you and us governing your access to and use of our website, application, and related materials.

The license to install and use Modern CSV is set out in our License Terms, which are part of this agreement. For purchases made through Paddle, these Terms are not a contract of sale: those paid orders are sold by Paddle, not by us, as described in the "Purchases Through Paddle" section. For purchases completed through other channels we expressly offer, we are the seller, as described in the "Purchases Through Other Channels" section.

Key Definitions

"Services" means all products and services provided by us that link to these Terms, including our website; our application ("Modern CSV", our "App" or "Application"); the content we provide or make available in relation to our Services (our "Materials"); and any products or services connected to or relying on Third-Party Services.

"You" ("your", the "customer", or the "user") means any individual using our Services, including any employees, agents, contractors, or other persons accessing our Services with your authorization.

"Using our Services" means interacting with our Services in any way, including accessing, browsing, installing, or running the Application; providing or transmitting information, content, materials, or instructions through our Services; integrating with our Services; or doing so directly or through automated tools, scripts, software, or third-party applications.

"Paddle" means the Paddle entity that acts as authorized reseller and Merchant of Record for a given Paddle purchase. Under Paddle's Buyer Terms, that entity is determined by the buyer's location: Paddle.com Inc. for purchases from the United States; Paddle.com (Canada) Ltd. for purchases from Canada; and Paddle.com Market Limited for purchases from elsewhere. The Paddle entity identified at checkout or on your invoice or receipt is the contracting seller for that purchase.

"License" means the limited rights we grant you to install and use the Application after a qualifying paid purchase, or the more limited rights applicable to the free version of the Application, as described in the License Terms.

Agreement to These Terms

By using our Services, you agree to be bound by these Terms, our License Terms, our Refund Policy, our Privacy Policy (including our Cookie Policy), and any other policies referenced and expressly incorporated within, and you consent to electronic communications and contracting as permitted under applicable laws. If you do not agree, you may not use our Services. Downloading, installing, or running the Application also constitutes agreement to the License Terms.

Purchases made through Paddle are also subject to Paddle's Buyer Terms and any other Paddle policies presented at checkout or with your invoice. Completing a purchase through Paddle constitutes your agreement to those Paddle terms for the purchase transaction. Purchases completed through other channels we expressly offer are contracts between you and us; Paddle's terms do not apply to those purchases.

Our Services are intended for users aged 18 or older, or above the age of majority in their jurisdiction, whichever is higher. Persons below this age may not purchase or enter into these Terms. If we become aware that a user is below the required age, we may suspend or terminate their access to paid features. If that user paid for a License, we will refund the purchase in accordance with our Refund Policy and applicable law (and, for a Paddle purchase, we will instruct Paddle to process the refund).

By using our Services, you acknowledge and agree that:

  • you are at least 18 years old (or the age of majority in your location, whichever is higher);
  • you have the legal capacity to enter into these Terms, and if you are representing an organization or other legal entity, you have the authority to bind that entity;
  • the information you provide to us is, and will remain, accurate, complete, and current;
  • and you are not located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive sanctions or embargoes, and you are not a blocked, denied, or otherwise restricted party under applicable sanctions or export control lists.

If you do not meet these requirements, you must not use our Services.

Conditions of Use

By using our Services, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

  • Modify, copy, prepare derivative works of, decompile, or reverse engineer any Materials, software, or content provided through our Services, except as expressly permitted by the License Terms or to the extent applicable law does not allow us to prohibit that.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notations on any Materials or software available through our Services.
  • Transfer, distribute, sell, rent, lease, sublicense, or "mirror" the Application, a license key, or any part of our Services' Materials except as expressly permitted by the License you hold.
  • Use our Services in a manner that knowingly or negligently disrupts or abuses our networks or any other services provided by us.
  • Transmit, distribute, or post any harassing, indecent, obscene, fraudulent, or unlawful material through our Services.
  • Use our Services in violation of any applicable local, state, national, or international laws or regulations.
  • Engage in unauthorized advertising or spam activities using our Services.
  • Harvest, collect, or gather user data without the explicit consent of the user or in violation of our Privacy Policy.
  • Use our Services in a manner that infringes, misappropriates, or violates the privacy rights, intellectual property rights, or other rights of our company or any third party.
  • Use automated scripts or technologies, including bots or data mining tools, to access, scrape, or extract data from our Services without explicit consent from us.
  • Attempt to gain unauthorized access to any portion of our Services or any related systems or networks.
  • Engage in any conduct that restricts or inhibits any other user from using or enjoying our Services, or which, in our judgment, exposes our company or any of its users to any liability or detriment of any kind.
  • Access, use, export, re-export, transfer, or otherwise make available our Services or any underlying software, technology, or content in violation of any applicable export control, trade, or economic sanctions laws.
  • Hide or misrepresent your identity, including by using false names, impersonating others, or concealing your status as a sanctioned or restricted party.
  • Take advantage of any feature or functionality that a reasonable person would consider to be an obvious omission, bug, or error.
  • Attempt to circumvent or bypass any functionalities, restrictions, usage limits, paywalls, geo-restrictions, license checks, or access features of our Services.

Failure to comply with these limitations may result in the suspension or termination of your access and rights to our Services, as well as any other legal remedies available to us.

Changes to Our Terms

We reserve the right to amend, remove, or vary these Terms at any time. Non-material changes may be effective immediately. For material changes, we may require you to re-accept the Terms to continue using our Services. We will provide you with reasonable notice as legally required, by any reasonable means, and such changes will become effective after the notice period. Changes required by applicable law or emergency may take effect immediately regardless of materiality.

Your continued access to or use of our Services after the effective date of any modifications constitutes your acknowledgment of and agreement to be bound by the revised Terms.

We may update the License Terms, Refund Policy, Privacy Policy, and Cookie Policy in the same way, as described in those documents or in this section. For that purpose, this section applies to those documents as well as to these Terms.

Changes to these Terms do not change Paddle's Buyer Terms or your purchase contract with Paddle. Changes to pricing, billing, or refund practices for future Paddle purchases will be presented by Paddle at checkout or as otherwise required by Paddle and applicable law.

Your Statutory Rights

Every clause in these Terms applies in full, except where a mandatory provision of applicable law requires otherwise. Nothing in these Terms limits, excludes, or modifies any mandatory rights, protections, or remedies you may have under the laws that apply to you.

Withdrawal, Cancellation, and Refund Rights

Purchases through Paddle are subject to the withdrawal, cancellation, and refund rights described in Paddle's Buyer Terms and Paddle's Refund Policy, together with any additional rights required by applicable law. These rights are separate from, and are not limited by, our 30-day money-back guarantee.

Paddle administers withdrawal, cancellation, and refund requests as Merchant of Record for Paddle purchases. You may submit a request through paddle.net or the support link in your receipt. You may also contact us using the details at the base of these Terms. If you contact us about a Paddle purchase, we will help you and will work through Paddle to resolve the request. Any applicable consent to immediate supply and acknowledgment concerning withdrawal rights is handled through Paddle's purchase process in accordance with applicable law.

Purchases completed through other channels we expressly offer are not administered by Paddle. Withdrawal, cancellation, and refund requests for those purchases should be sent to us, and are handled under our money-back guarantee and applicable law.

Notice to Australian Consumers

If you are a consumer in Australia, nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement. Where permitted by section 64A of the Australian Consumer Law, our liability for failure to comply with a non-excludable consumer guarantee is limited, at our option, to supplying the services again or paying the cost of having the services supplied again.

Purchases Through Paddle

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

The sentence above applies to purchases you complete through Paddle Checkout or Paddle Invoicing on or from our website. Most paid orders are completed that way. Some purchases may be completed through other channels we expressly offer; those purchases are described in the next section, and Paddle is not the Merchant of Record for them.

When you complete a purchase through Paddle, you buy the product from Paddle. Paddle is the seller of record for that transaction and is responsible for processing payments, collecting and remitting applicable taxes, issuing invoices and receipts, and administering billing, cancellations, and refunds in accordance with Paddle's applicable terms and policies.

You may contact Paddle or us about order, billing, invoice, tax, cancellation, or refund matters for a Paddle purchase. Paddle buyer support is available at paddle.net. If you contact us, we will help you and will work through Paddle to resolve the request. We do not process Paddle refunds or issue Paddle invoices ourselves; we instruct Paddle, and Paddle carries them out.

We handle product, installation, License, and lost-license-key support ourselves. Contact us, not Paddle, if you need a license key replaced or have a question about installing or using the Application.

We do not sell the Application or license keys to you as principal on a Paddle purchase. A license key, activation code, or similar credential is only a delivery mechanism for the License we grant after Paddle confirms the purchase, as described in the License Terms. Ownership of the Application and all intellectual property in it remains with us.

Your purchase through Paddle is also subject to Paddle's Buyer Terms and other policies presented to you at the time of purchase. If the purchase is completed by Paddle Invoicing rather than Paddle Checkout, Paddle's Invoiced Business Terms or Invoiced Consumer Terms also apply, depending on whether you are buying as a business or as a consumer. Paddle may also present those terms with your invoice.

If there is a conflict between these Terms and Paddle's terms regarding the purchase transaction, payment processing, billing, taxes, cancellations, refunds, invoices, chargebacks, or similar matters, Paddle's applicable terms will control with respect to those matters. Nothing in this allocation of responsibilities reduces the additional refund rights we expressly provide under our money-back guarantee.

These Terms continue to govern your relationship with Gallium Digital regarding your access to and use of our Application and Services, including acceptable use, intellectual property rights, warranties, limitations of liability, and other matters concerning the Application and Services themselves. The scope and conditions of any License are in the License Terms.

Purchases Through Other Channels

We may also accept paid orders through other channels we expressly offer, such as a purchase order, an invoice we issue, a bank transfer, or another payment method we agree with you. Those purchases are optional alternatives to Paddle; they are not the default checkout on our website.

For those purchases, we are the seller. Paddle is not a party to the transaction, Paddle is not the Merchant of Record, and Paddle's Buyer Terms do not apply. We are responsible for invoices, applicable tax collection and remittance, payment processing, and refunds. Completing such a purchase does not transfer ownership of the Application or any intellectual property in it. After we confirm payment, we grant you the License described in the License Terms.

Contact us using the details at the base of these Terms for order, billing, invoice, tax, cancellation, refund, product, installation, License, or lost-license-key questions about a purchase made through another channel.

Pricing, Taxes, and Fees

Unless stated otherwise, prices displayed on our Services are generally shown in United States Dollars (USD).

For a Paddle purchase, the final price, currency, and any applicable taxes are determined and displayed by Paddle at checkout or on the Paddle invoice. The total price displayed by Paddle before you confirm your order represents the amount payable to Paddle for the purchase, including applicable taxes and charges identified at checkout or on the invoice.

For a purchase through another channel, the price is the amount we quote or invoice. Applicable taxes are determined and collected by us as the seller. The total payable is the amount stated on our quote or invoice, including any taxes identified there.

If an obvious pricing error is discovered before your order is completed, we (or Paddle, for a Paddle purchase) may correct the error and inform you of the correct price. In such cases, you will have the option to complete the order at the correct price or cancel it. Changes to displayed pricing will not affect orders that have already been completed, except where required by applicable law.

No additional amounts will be charged after you place your order except as disclosed and authorized at the time of purchase, or as otherwise required or permitted by applicable law.

If you qualify for tax-exempt status, any exemption is subject to the seller's procedures and verification requirements: Paddle's, for a Paddle purchase, or ours, for a purchase through another channel. Purchases for which an exemption is not accepted may be subject to applicable taxes.

The seller of the purchase may calculate or adjust applicable taxes or transaction-related charges as required by law, with notice where required.

If your bank, card issuer, or payment method provider charges currency-conversion, cash-advance, installment, or similar fees, those fees are charged by that provider, not by us. We do not add hidden surcharges.

Payments

Most paid orders are placed with Paddle through the checkout Paddle presents on or from our website, or through Paddle Invoicing. Paddle determines the payment methods available for those purchases. Those methods may change from time to time.

By providing payment information to Paddle or Paddle's payment partners, you authorize them to store and process it and to charge your selected payment method for the amount displayed at checkout or on the Paddle invoice. You also confirm that you are authorized to use the selected payment method and that the billing information provided is accurate and up to date.

For a purchase through another channel, you authorize us or our payment partners to process the payment method we agree with you for the amount stated on our quote or invoice.

Paddle and its payment partners may act as independent data controllers for fraud prevention and regulatory compliance purposes. Further information on how we process personal data is available in our Privacy Policy. Paddle's handling of buyer payment data is described in Paddle's Privacy Notice.

Failed or Unauthorized Payments

For a Paddle purchase, you should promptly update your payment information through the facilities provided by Paddle if your payment method changes or is canceled, and promptly report suspected unauthorized use to Paddle. Paddle may suspend or restrict further charges to a payment method that is reported as compromised or used without authorization.

For a purchase through another channel, update us promptly if your payment method changes or is canceled, and promptly report suspected unauthorized use to us.

If a required payment is not successfully completed, we may withhold the related license key or suspend the related License until payment is completed.

Billing Errors and Complaints

If you believe you have been incorrectly charged for a Paddle purchase, contact Paddle or contact us. If you contact us, we will help you and will work through Paddle to resolve it. Billing errors on Paddle purchases will be handled in accordance with Paddle's applicable terms, policies, and legal obligations.

If you believe you have been incorrectly charged for a purchase through another channel, contact us.

If you are dissatisfied with any payment or billing matter, you may contact us. We will use commercially reasonable efforts to help. For a Paddle purchase, unresolved complaints may also be taken up through any complaint or alternative-dispute process Paddle makes available, and through any statutory consumer process that applies to you.

License

The Application is licensed, not sold. The grant, types (free, Premium Personal, and Premium Business), version coverage, upgrades, restrictions, lost keys, and the effect of suspension, termination, refund, or discontinuation on a License are in our License Terms. Those License Terms are incorporated into these Terms. Installing or using the Application is also agreement to the License Terms.

If these Terms and the License Terms conflict about the scope, duration, assignment, or permitted use of a License, or about the effect of a chargeback, refund, or non-payment on a License, the License Terms control. If they conflict about a purchase transaction, payment, billing, taxes, invoices, cancellations, refunds as a payment matter, or Paddle's role, these Terms control (and Paddle's terms control those purchase matters as stated in these Terms).

Money-Back Guarantee

We offer a 30-day money-back guarantee on each paid purchase of a Modern CSV License, including upgrades (the "Guarantee"). The full Guarantee — including how to request a refund, optional help if you think a feature is missing, Paddle versus other channels, and what is not covered — is in our Refund Policy, which is part of this agreement. The Guarantee described there is the Guarantee under these Terms.

Once a full refund is issued, the License associated with the refunded purchase terminates as described in the License Terms and the Refund Policy.

Third-Party Services

Our Services may include features, tools, and integrations (collectively, "Third-Party Services") that rely on, are built by, are connected with, or are supported by companies that are independent from us. By using Third-Party Services, you agree to comply with the applicable terms and conditions, usage rules, and policies of the respective providers.

We do not endorse, are not liable for, and make no representations or warranties about any Third-Party Services. We have no control over these services and are not responsible for how they work or what they do. If a Third-Party Service stops working or changes how it connects with our Services, we may need to discontinue that connection without liability to you, to the maximum extent permitted by applicable law.

Where an issue with our Services originates from a Third-Party Service, our responsibility is limited to using commercially reasonable efforts to resolve or mitigate the impact on our Services. We are not obligated to fix, replace, or compensate for failures, outages, or changes caused by Third-Party Services, except where required by applicable law.

By using our Services, or any Third-Party Services in connection with them, you agree not to hold us responsible for any issues that arise directly from those Third-Party Services, to the maximum extent permitted by law.

Service Updates and Changes

We may update, modify, or improve our Services from time to time. These updates may include technical adjustments, security enhancements, performance improvements, changes to features, or adaptations required to comply with legal or regulatory requirements. We reserve the right to implement updates at any time and for any reason, whether temporarily or permanently, with or without notice, and without liability to you or any third party, to the maximum extent permitted by applicable law. Changes to the Services do not take away features included with a paid License at the time of purchase, except as described in the License Terms.

You acknowledge that our Services may contain errors, bugs, or interruptions. We have no obligation to provide notice of, or correct, update, modify, maintain, or repair any aspect of our Services, except as required by applicable law or as described in the License Terms.

Discontinuation

We reserve the right to suspend or discontinue all or part of the Services where reasonably necessary for legal, security, operational, or business reasons.

If you hold a paid-up one-time License and we discontinue the Application or cease operating, that License remains valid for the licensed major version as described in the License Terms. We will give at least 30 days' notice of discontinuation where reasonably practicable. Discontinuation does not limit any refund rights under the Guarantee, Paddle's terms, or applicable law.

Temporary Interruptions

We aim to keep the website, license-key delivery, and related online Services available and reliable. However, they may occasionally be unavailable due to scheduled maintenance, updates, technical issues, or circumstances beyond our reasonable control. Temporary interruptions to our online Services do not prevent existing license keys from working offline. We are not liable for any loss or damage arising from temporary interruptions, to the maximum extent permitted by applicable law.

Automatic App Updates

If you install our App on your device, you agree that the App may receive updates where this function is enabled in the App or your device settings. These updates may be required to ensure security, performance, or continued compatibility.

Beta Versions and Experimental Features

We may, at our discretion, grant you access to experimental features, pre-release functionality, or developmental tools that have not been released to our general customer base ("Experimental Features"). Experimental Features are provided as-is for evaluation only.

We reserve the right to withdraw, modify, suspend, or discontinue Experimental Features without prior notice. We make no commitment to incorporate any Experimental Feature into our commercially available Services and provide no assurances regarding reliability, availability, performance, or future availability.

Data Processing

By accessing our Services, you acknowledge our collection and analysis of usage metrics, service interaction patterns, and operational data in accordance with our Privacy Policy and applicable data protection laws. We may aggregate and anonymize this information for analytical purposes, research, product development, and industry insights. Aggregated and anonymized data, once processed to remove identifying characteristics, is our information and may be used, disclosed, or published at our discretion. It will not include information that could reasonably identify you as an individual user.

Files you open, edit, or export in the desktop Application remain on your devices unless you choose to send them to us (for example, when reporting a bug). We do not claim ownership of your data files.

Intellectual Property

We retain sole ownership of all intellectual property ("IP") rights in and to our Services, our Materials, and any proprietary rights inherent in and to our Services. These rights are protected by international intellectual property laws and treaties and apply worldwide.

Nothing in these Terms transfers to you any rights, interest, or title in our company or Services, except the License expressly granted in the License Terms.

Your data files, spreadsheets, and other content that you create or open in the Application remain yours. You do not need to credit us when you publish or share that content.

All rights not expressly granted to you are reserved by MPQV Group LLC, doing business as Gallium Digital, and its licensors.

Use of Our Brand and Materials

You may refer to our company name and brand in a factual and truthful manner. You must not use our name, logo, trademarks, or other brand assets in any way that implies endorsement, sponsorship, or affiliation with us without our prior written consent.

Copyright Infringement Notice

We respect the intellectual property rights of others, and we ask that everyone using our Services does the same. If you believe that your work has been reproduced on our Services in a way that constitutes copyright infringement, please let us know using the contact details at the base of these Terms. Include a description of the work, the location of the allegedly infringing material, your contact information, a statement of good-faith belief that the use is not authorized, and a statement under penalty of perjury that the information is accurate and that you are the owner or authorized to act for the owner.

By submitting a copyright infringement claim, you acknowledge that making a false claim could make you liable for any resulting damages under applicable law. If you're unsure whether your claim is valid, we recommend that you seek legal advice before proceeding.

Feedback and Other Content You Send Us

This section covers feedback, ideas, suggestions, feature requests, reviews, bug reports, and other communications you send to us, including files you choose to attach to a support or bug report ("Submitted Content"). It does not cover the ordinary data files you create or edit on your own devices with the Application.

By sending Submitted Content to us, you grant us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, reproduce, modify, and otherwise exploit that Submitted Content to operate, develop, improve, and promote our Services, consistent with our Privacy Policy. This includes the right to use feedback and feature requests without any obligation or compensation to you.

You retain ownership of your Submitted Content. You represent that you have the rights needed to grant the license above and that the content does not infringe third-party rights.

We reserve the right to review, refuse, or delete Submitted Content that we host, at our discretion and without notice.

Accuracy of Materials

We aim to ensure that all information found on our Services is accurate and up to date. However, occasional errors, inaccuracies, or omissions may occur. We reserve the right to correct such errors and update information at any time. We do not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.

Product and App Presentation

We make reasonable efforts to ensure that feature descriptions, screenshots, and other representations of our Services are accurate at the time of publication. As the Application is updated over time, certain features, interfaces, or functionality may change and may differ from published descriptions. Minor visual differences caused by device displays, operating systems, or settings do not constitute a defect.

Feature Availability

Feature listings on our Services reflect current availability at the time of publication. We make reasonable efforts to remove or update feature listings that are no longer available, but occasional discrepancies may occur. The display of a feature does not constitute a guarantee of ongoing availability, except as described in the License Terms for features included with a paid License at the time of purchase.

Links

We may provide links to third-party websites, applications, or resources ("Linked Sites") for your convenience. However, we don't control, review, monitor, or endorse these Linked Sites or their content, and we can't make any promises about their availability, accuracy, reliability, or suitability. When you access and use Linked Sites, you're doing so at your own risk, and we won't be responsible for any damages or losses that arise from your use of or reliance on any Linked Site.

We reserve the right to remove or disable links to any Linked Site at any time without notice or liability. When you access any Linked Site, you acknowledge that you're leaving our platform and that different terms of use and Privacy Policies may apply to your use of those Linked Sites.

Events Outside Our Control (Force Majeure)

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by circumstances outside our reasonable control ("Force Majeure Events"). Force Majeure Events include, but are not limited to, acts of God, natural disasters, internet outages, cyberattacks, strikes, and failures of hosting, email, or other infrastructure we use to operate the website, deliver license keys, or provide product support.

A failure or delay by Paddle in processing a purchase, payment, invoice, tax, cancellation, or refund is governed by Paddle's Buyer Terms and is not a Force Majeure Event under these Terms. This section covers our obligations only. It does not limit Paddle's obligations to you, and it does not treat Paddle as our vendor or subcontractor on a Paddle purchase — Paddle is the seller of that purchase.

Upon the occurrence of a Force Majeure Event, we will use commercially reasonable efforts to notify you through any reasonable means about the nature of the event and its expected impact on our Services, to the extent practicable. Any delay or failure to provide such notification due to the Force Majeure Event itself shall not constitute a breach of this agreement. The affected obligations will be suspended for the duration of the Force Majeure Event.

Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we make no warranties or representations of any kind, express or implied, and we disclaim all implied warranties and conditions, including without limitation any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that our Services will be uninterrupted, error-free, timely, secure, free of viruses or other harmful components, or that any defects will be corrected; that the Services will meet your requirements or expectations; or that any information or content available through the Services is accurate, complete, or reliable.

Limitation of Liability

The following limitations apply to the maximum extent permitted by applicable law. Where any limitation is partially or wholly unenforceable, it applies to the maximum extent that is enforceable.

In no event will we, our affiliates, suppliers, licensors, agents, officers, directors, or employees be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity, savings, reputation, use, or data, arising out of or in connection with these Terms or your use of (or inability to use) our Services, regardless of whether the claim is brought in contract, tort (including negligence), breach of statutory duty, indemnity, equity, or otherwise, and even if we have been advised of the possibility of such damages.

Our total aggregate liability to you arising out of or in connection with these Terms or your use of our Services, regardless of the cause of action, will not exceed the greater of (a) the total amounts you paid to Paddle or to us for the specific product or License giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100).

Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under applicable law.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, some of the above limitations may not apply to you in their entirety, and our liability is limited to the maximum extent permitted by applicable law.

Paddle's liability, if any, in connection with a Paddle purchase is governed by Paddle's Buyer Terms, not by this section.

Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless our company, our affiliates, and our respective officers, directors, employees, agents, licensors, suppliers, successors, and assigns ("Indemnified Parties") from claims, losses, damages, penalties, fines, costs, and expenses (including reasonable legal fees and costs) arising out of or related to:

  • your access to or use of our Services in a manner that breaches these Terms or the License Terms, violates applicable law, or infringes the rights of any third party;
  • your breach of these Terms, the License Terms, or any applicable laws, regulations, or regulatory requirements;
  • your violation of any third-party rights, including intellectual property rights, privacy rights, publicity rights, or contractual rights;
  • your negligence, gross negligence, willful misconduct, fraud, or fraudulent misrepresentation;
  • any disputes, issues, or claims between you and any third party arising from your use of our Services or your data files;
  • and any security breaches, unauthorized access, or data incidents resulting from your actions or omissions.

This section does not require a consumer to indemnify us to the extent that obligation would be unenforceable under mandatory consumer-protection law. In those cases, the obligation applies only to the maximum extent permitted.

You will cooperate promptly and fully in the defense of any such claim at your own expense. We reserve the right, at our sole discretion, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to assist and cooperate with us and to promptly reimburse us for reasonable defense costs. You may not settle, compromise, or admit liability in connection with any claim subject to this section without our prior written consent.

To the extent permitted by applicable law, this obligation survives the termination or expiration of these Terms.

Dispute Resolution

By accepting these Terms, you agree that any disputes, claims, or issues related to these Terms, our Services, or your use of them (collectively, "Disputes") will be governed by the laws of the State of Texas, USA ("Governing Law"), without regard to conflict-of-law principles, and resolved in accordance with this section. This choice of law does not deprive you of mandatory consumer protections in your place of residence.

Disputes about payment, billing, taxes, invoices, cancellations, or refunds for a Paddle purchase should be raised with Paddle first under Paddle's Buyer Terms. You may also contact us, and we will help by working through Paddle. This section governs disputes between you and Gallium Digital about the Application, the License, these Terms, and purchases completed through other channels.

Before commencing litigation, you must first provide written notice of the Dispute to us using the contact details at the base of these Terms, including a detailed description of the nature of the Dispute and the relief sought. We will attempt to resolve the Dispute informally through negotiation within 30 days from the date of your written notice. If the Dispute cannot be resolved within this period, either party may proceed with litigation.

Subject to mandatory law and the small-claims carve-out below, exclusive venue for court proceedings between you and us will be the state courts located in Collin County, Texas, or the United States District Court for the Eastern District of Texas. You and we consent to personal jurisdiction there.

Either party may bring an individual claim in small-claims court in a jurisdiction that has authority over the claim.

Injunctive Relief

Notwithstanding the other terms in this section, we have the right to seek injunctive relief against any unauthorized use or abuse of our Services, unauthorized disclosure of confidential information, or intellectual property infringement, and the right to pursue an enforcement action without first engaging in the informal negotiation process described in this section.

Individual Disputes Only

To the extent permitted by applicable law, you agree to resolve any and all Disputes with us on an individual basis and not as part of a class, representative, or consolidated action. This does not limit any non-waivable right you have under mandatory law.

You may opt out of this class, representative, and consolidated action waiver by sending an email to [email protected] within 30 days of first agreeing to these Terms or, if later, within 30 days of completing a purchase to which these Terms apply. Your email must include your name, the email address associated with your use of the Services or purchase, and a clear statement that you wish to opt out of the class action waiver. Opting out of this waiver does not affect any other provision of these Terms. This opt-out applies only to this waiver in these Terms, not to any similar waiver in Paddle's Buyer Terms.

Miscellaneous

Severability

If any provision of these Terms is found by a court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed removed to the extent necessary, and the remaining provisions shall remain in full force and effect.

If the removal of a provision materially affects the balance of rights and obligations under these Terms, we may amend the affected provision to the extent necessary to make it lawful, while preserving its original purpose as closely as possible.

Waiver

No waiver of any breach, default, or right under these Terms shall be effective unless expressly made in writing and signed by an authorized representative of the waiving party. Our failure or delay in exercising any right or remedy under these Terms shall not operate as a waiver, impair future rights to strict performance, or affect any other available rights or remedies.

Entire Agreement

These Terms, together with our License Terms, our Refund Policy, our Privacy Policy (including our Cookie Policy), any License details stated on the applicable product page at the time of purchase, and any mandatory pre-contractual information, form the agreement between you and MPQV Group LLC, doing business as Gallium Digital, regarding our Services. They replace any prior discussions or communications relating to the same subject matter.

Your purchase contract with Paddle, if you have one, is a separate agreement between you and the applicable Paddle entity, governed by Paddle's Buyer Terms and applicable Paddle policies, including Paddle's invoiced business or consumer terms where they apply. These Terms do not replace or amend that agreement.

Nothing in these Terms limits or excludes any rights you have under applicable consumer protection, unfair commercial practices, or data protection laws. If any information we provide to you before entering into the contract is required by law to form part of the contract, it will remain binding.

We may update these Terms in accordance with the "Changes to Our Terms" section. We are not bound by any other term or condition you propose in any correspondence, purchase order, or document, regardless of whether we expressly object to it. Any other changes must be agreed in writing.

Notices

You may contact us at any time using the contact details at the base of these Terms. Where these Terms require notice in writing, email or a message submitted through our contact form is sufficient unless mandatory law requires another method. A notice is considered received when it is sent, provided there is no indication that delivery has failed.

Assignment

You may not transfer your rights or obligations under these Terms to another person without our prior written consent, except that a Premium Business License may be reassigned as described in the License Terms, or where a transfer is permitted by applicable law.

We may transfer our rights and obligations under these Terms to another company, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. If we do so, we will ensure that your rights under these Terms are not reduced as a result of the transfer. Where required by law, we will inform you of such transfer.

Interpretation

In these Terms, "including" means "including but not limited to."

The authoritative version of these Terms is the original English (US) version, which shall prevail over any translation in the event of a conflict. Any translations are provided purely for convenience, and we are not responsible for errors or inconsistencies in them.

Headings in these Terms are for convenience only and do not affect the interpretation of any provision.

Survival

Any provision of these Terms that by its nature or express terms should survive the expiration or termination of these Terms will survive, including any accrued rights and obligations.
